What is Annual ROC Filing?

All companies registered in India including private Limited company, one person company and section 8 company are governed by the Ministry of Corporate Affairs (MCA) under the Companies Act, 2013. All these companies are required to file annual returns with the Ministry of Corporate Affairs (MCA). It also requires conducting of an Annual General Meeting (AGM) and filing annual accounts with ROC. AGM must be conducted within 6 months from the end of the financial year i.e. 30th September every year. Delay or Non-filing of return results in heavy interest and penalties.

Requirements

Forms to be filed with ROC

  • Form ADT-1 (Auditor Appointment) -- This form is filed for appointment of auditor. The due date for Form ADT-1 is within 15 days from the conclusion of AGM.
  • Form MGT-7 (Annual Return) -- This form contains details of change in directorship, shareholding structure and details of transfer of shares during the year if any. Due date for Form MGT 7 is 60 days from the conclusion of AGM.
  • Form AOC-4 (Financial Statements & Other Documents) -- This form contains details & annexure relating to Balance sheet, Profit & loss Account, Compliance Certificate, Registered Office Address, Register of Member, Debt details, Shares and Debentures details, and information about the Management of the Company. The due date for Form AOC 4 is 30 days from the conclusion of the AGM.

 The Company has to comply with the statutory requirement of Annual Return, profit, Balance Sheet and Income Tax Return every year.

Every Company needs to file the annual return. The annual return is also available for public inspection once payment of prescribed fees is made to the Registrar.

In case of company, the penalty amount depends upon the share capital and delayed period.

If the LLP annual return form is not filed within due date, then a penalty of Rs.100 per day is applicable until the default continues.
